Welcome to Headel. These Terms and Conditions ("Terms") govern your access to and use of the Headel platform, website, and services (collectively, the "Service"). By accessing or using our Service, you agree to be bound by these Terms.

Headel is an online storefront platform that enables small sellers to create and manage online shops integrated with social media platforms such as Instagram and Facebook. Please read these Terms carefully before using our Service.

2. Definitions

• "Platform" refers to the Headel website, mobile application, and all related services.
• "Seller" refers to any individual or business entity that creates a storefront on Headel to sell products or services.
• "Buyer" refers to any individual who purchases products or services through a Headel storefront.
• "User" refers to any person accessing or using the Platform, including both Sellers and Buyers.
• "Storefront" refers to the online shop created by a Seller on the Platform.

3. Account Registration

To use certain features of the Service, you must register for an account. When registering, you agree to:

• Provide accurate, current, and complete information during registration.
• Maintain and promptly update your account information.
• Keep your password secure and confidential.
• Accept responsibility for all activities that occur under your account.
• Notify us immediately of any unauthorized use of your account.

You must be at least 18 years old to create an account. By registering, you represent that you meet this age requirement.

4. Seller Terms and Responsibilities

As a Seller on Headel, you agree to the following:

4.1 Product Listings

• All product information, descriptions, and images must be accurate and not misleading.
• You must have the legal right to sell all products listed on your storefront.
• Prohibited items include illegal goods, counterfeit products, hazardous materials, and items that violate intellectual property rights.
• Pricing must be clearly stated and inclusive of applicable taxes where required by law.

4.2 Order Fulfillment

• You are responsible for fulfilling orders in a timely manner as specified in your storefront policies.
• You must provide accurate shipping information and tracking details when available.
• You are responsible for handling returns and refunds in accordance with your stated policies and applicable consumer protection laws.

4.3 Customer Service

• You must respond to customer inquiries in a reasonable timeframe.
• You are responsible for resolving disputes with buyers fairly and professionally.
• Headel may intervene in disputes at its discretion to protect buyer interests.

5. Buyer Terms

As a Buyer on Headel, you acknowledge and agree that:

• You are purchasing products directly from independent Sellers, not from Headel.
• Headel acts as a platform facilitator and is not a party to transactions between Buyers and Sellers.
• You must review the Seller's policies regarding shipping, returns, and refunds before making a purchase.
• You agree to provide accurate shipping and contact information for order fulfillment.
• Payment disputes should first be directed to the Seller before contacting Headel support.

6. Fees and Payment Processing

6.1 Platform Fees for Sellers

Headel offers the following pricing plans for Sellers:

• Free Plan: No monthly subscription fee. Sellers receive the full sale amount with no deductions.
• Pro Plan: ₹699 per month with additional features including premium themes, advanced analytics, and priority support.

6.2 Buyer Processing Fee

A processing fee of 2.5% + ₹5 is added to the buyer's total at checkout. This fee covers payment gateway charges and platform maintenance costs. The Seller receives the full listed price of their products without any deductions.

For example: If a product is listed at ₹100, the Buyer pays ₹100 + ₹2.50 (2.5%) + ₹5 = ₹107.50. The Seller receives ₹100.

6.3 Payment Processing

• Payments are processed through secure third-party payment gateways.
• Seller payouts are processed within 2-5 business days after order confirmation.
• Headel reserves the right to hold payments in cases of suspected fraud or policy violations.
• Sellers are responsible for any taxes applicable to their earnings.

7. Intellectual Property

7.1 Headel's Intellectual Property

The Platform, including its design, features, logos, and content created by Headel, is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

7.2 User Content

You retain ownership of content you upload to the Platform. By uploading content, you grant Headel a non-exclusive, worldwide, royalty-free license to use, display, and distribute your content solely for the purpose of operating and promoting the Platform.

You represent that you own or have the necessary rights to all content you upload and that such content does not infringe on the intellectual property rights of any third party.

8. Prohibited Activities

Users are prohibited from:

• Using the Platform for any illegal purpose or in violation of applicable laws.
• Selling counterfeit, stolen, or prohibited items.
• Engaging in fraudulent transactions or deceptive practices.
• Harassing, threatening, or abusing other users.
• Attempting to gain unauthorized access to the Platform or other users' accounts.
• Introducing viruses, malware, or other harmful code.
• Scraping, data mining, or using automated tools to access the Platform without permission.
• Circumventing or manipulating our fee structure.
• Creating multiple accounts to abuse promotions or evade restrictions.

9. Account Suspension and Termination

Headel reserves the right to suspend or terminate your account at any time for:

• Violation of these Terms or any applicable policies.
• Engaging in prohibited activities.
• Receiving multiple complaints from buyers or other users.
• Suspected fraudulent or illegal activity.
• Extended periods of inactivity (over 12 months).

Upon termination, you will lose access to your storefront and any pending payouts may be withheld pending investigation. You may appeal account termination by contacting our support team.

10. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. HEADEL DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• Merchantability and fitness for a particular purpose.
• Accuracy, reliability, or completeness of any content.
• Uninterrupted or error-free operation of the Platform.
• Security of data transmitted through the Platform.

Headel does not endorse, guarantee, or assume responsibility for any products sold by Sellers on the Platform. Any transaction between Buyers and Sellers is solely between those parties.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HEADEL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, or business opportunities.
• Loss of data or content.
• Damages arising from transactions between Buyers and Sellers.
• Service interruptions or platform unavailability.

In no event shall Headel's total liability exceed the fees paid by you to Headel in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Headel, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Platform, violation of these Terms, or infringement of any third-party rights.

13. Dispute Resolution

Any disputes arising from these Terms or your use of the Platform shall be resolved as follows:

• Informal Resolution: We encourage you to contact us first to resolve any issues informally.
• Governing Law: These Terms shall be governed by the laws of India.
• Jurisdiction: Any legal proceedings shall be conducted in the courts of Kolkata, West Bengal, India.
• Arbitration: At our discretion, disputes may be resolved through binding arbitration under the Arbitration and Conciliation Act, 1996.

14. Modifications to Terms

Headel reserves the right to modify these Terms at any time. We will notify users of material changes via email or through the Platform. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms. We encourage you to review these Terms periodically.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
